Failures in mergers and acquisitions: exploring how various mergers and acquisitions have failed over the years due to hr issues and what mistakes companies make while going forward with an m&a

Abstract

The capstone project, “Failures in mergers and acquisitions: Exploring how various mergers and acquisitions have failed over the years due to HR issues and what mistakes companies make while going forward with an M&A”, signifies the human resources challenges that M&As face and the cultural clashes that take place during the process. This project focuses on four major corporate M&As: Disney-Pixar, Sprint-Nextel, AT&T-Time Warner, and Vodafone-Hutchison Essar. The project aims to analyze how strategic HR practices, the integration of leadership and culture, and the patterns of communication crucially and directly impact the success or failure of M&As. Disney-Pixar and Vodafone-Hutchison Essar are successful M&As that portray the effectiveness of their strategies and planning, resulting in success made possible through mutual respect, integration, leadership alignment, and employee retention strategies. AT&T-Time Warner and Sprint-Nextel, being the failed M&As, showcase how cultural clashes, poor miscommunication, and leadership misalignment can result in low employee morale, talent drain, and major financial challenges. The project emphasizes the requirement for an adaptive environment during the M&A processes, which helps foster collaboration. Towards the end, the project talks about customer expectations and experiences and, finally, potential recommendations to navigate these complexities for future M&As, bringing out the critical role of human resources for the sustainability of long-term post-merger success.
