On June 29,2023, ICICI Bank announced the delisting of shares of one of its subsidiaries, ICICI Securities, with an aim to make it a wholly-owned subsidiary of ICICI Bank through a share swap arrangement. The delisting proposal issued a share swap ratio of 67:100 which means that the shareholders of ICICI Securities will receive 67 shares of ICICI Bank for every 100 shares they hold of ICICI Securities. The delisting proposal received support from a majority of shareholders in March 2024, with 93.82% of total equity shareholders and 71.89% of public shareholders voting in favour of the proposal (Business Standard, 2024) However, there were certain oppositions to the delisting proposals. The most vocal opponent of the delisting proposal was Quantum Mutual Fund, a minority institutional investor in ICICI Securities, who viewed this move as an unfair advantage for the parent company over the expense of public shareholders’ interests. The mutual fund filed a formal complaint with the National Company Law Tribunal (NCLT), alleging the share swap ratio to be unfair and undermining the potential value of ICICI Securities, leading to losses for minority shareholders. The delisting proposal sparked a debate around the financial and legal circles over issues of corporate governance practices, fairness of conduct and securing interests of the minority shareholders. This case study seeks to examine the corporate governance concerns raised by the delisting proposal and assess the implications of the complaint lodged by Quantum Mutual Fund on ICICI Bank, and determine whether the shareholders’ rights were fairly represented and protected or not throughout the process.
